Job Description

We are currently seeking a talented and experienced Paralegal with a strong background in business and corporate law to join our legal team. The ideal candidate will have excellent organizational skills, attention to detail, and a thorough understanding of corporate governance and transactional processes. This is an exciting opportunity to work closely with attorneys and clients in a dynamic corporate environment. 

  • Assist attorneys with all stages of corporate transactions, including mergers and acquisitions, financings, and corporate restructurings.
  • Prepare and file corporate formation and governance documents, including articles of incorporation, bylaws, resolutions, and board and shareholder meeting materials.
  • Conduct due diligence reviews and assist in drafting due diligence reports and summaries.
  • Assist in the preparation and filing of regulatory filings and corporate compliance documents.
  • Coordinate and facilitate the execution and delivery of transaction documents and closing deliverables.
  • Maintain corporate records and databases, including entity management and corporate governance software.
  • Assist in drafting and reviewing commercial agreements, contracts, and other legal documents.
  • Conduct legal research and analysis on corporate law matters and regulatory requirements.
  • Manage and prioritize multiple tasks and deadlines in a fast-paced environment.
  • Provide administrative support to attorneys, including calendar management, scheduling meetings, and preparing expense reports.
Requirements
  • Associate’s degree or equivalent work experience.
  • Paralegal certificate preferred.
  • 1+ years of experience working as a paralegal in a corporate law practice or in-house legal department.
  • Strong understanding of corporate governance principles and transactional processes.
  • Proficiency in Microsoft Office Suite.
  • Excellent written and verbal communication skills.
  • Detail-oriented with strong organizational and time-management skills.
  • Ability to work independently and collaboratively as part of a team.
  • Demonstrated ability to maintain confidentiality and handle sensitive information.
  • Adaptability and willingness to learn new skills and take on new responsibilities.
