Corporate Paralegal – Healthcare Practice Group | Roseland, NJ (Full-Time)
Our client, a highly respected law firm, is seeking a Corporate Paralegal to join its Healthcare Practice Group in the Roseland, NJ office. This full-time role offers a dynamic opportunity to work on sophisticated healthcare transactions and regulatory matters, supporting attorneys and clients through a wide range of corporate and compliance-related responsibilities.
Purpose of Role:
The ideal candidate is detail-oriented, solutions-driven, and thrives in a fast-paced legal environment. You will be a key contributor to the healthcare team, playing a pivotal role in transactional closings, regulatory compliance, entity formation, and much more.
Key Responsibilities:

Prepare and file corporate documents including UCC Financing Statements, Articles of Incorporation/Organization, bylaws, operating agreements, and annual reports

Support attorneys on healthcare M&A transactions, joint ventures, corporate restructurings, and dissolutions

Conduct due diligence reviews on matters such as business licenses, Medicare/Medicaid enrollment, and compliance with Stark Law and Anti-Kickback Statute

Assist with entity formation, including state licensing and regulatory filings with agencies such as the Department of Health, CMS, and state medical boards

Coordinate with clients, attorneys, and regulatory agencies to ensure timely filing and compliance

Maintain and organize minute books, stock records, and healthcare governance documents

Draft, review, and manage healthcare-related contracts including employment agreements, MSAs, operating agreements, and BAAs
-
Conduct legal research related to HIPAA, Stark Law, and Anti-Kickback Statute compliance

Assist with managing data rooms, tracking transaction progress, and closing deal logistics

Facilitate document execution, notarization, and correspondence related to transactions and compliance filings

Utilize MS Office Suite, Adobe (Kofax), and document management tools for legal documentation and case support

Handle confidential and sensitive information in accordance with regulatory and ethical standards
Qualifications:

Bachelor’s degree or Paralegal Certificate from an ABA-approved program

Minimum 5+ years of corporate paralegal experience, ideally with a focus on M&A and healthcare-related transactions

Experience in regulatory filings, healthcare licensing, and compliance is highly preferred

Proficiency in MS Word, Excel, Adobe (Kofax), and document management systems

Strong organizational and time management skills with keen attention to detail

Excellent written and verbal communication abilities

Ability to prioritize and manage multiple assignments in a deadline-driven environment

Team player with a collaborative mindset and professional demeanor

Familiarity with healthcare laws and compliance requirements, including HIPAA, Stark Law, Anti-Kickback Statute, and CMS regulations is a plus
