Job Description:
1. Contracts Management:
◦ Drafting, reviewing, and maintaining commercial contracts and agreements.
◦ Ensuring compliance with contractual obligations and tracking renewal dates.
2. Corporate Governance:
◦ Assisting with board meetings, including drafting meeting agendas, minutes, and resolutions.
◦ Managing corporate records and filings, such as maintaining shareholder and director information.
3. Compliance and Regulatory Support:
◦ Ensuring the company complies with industry regulations and internal policies.
◦ Assisting with audits, investigations, and risk management processes.
4. Intellectual Property Management:
◦ Filing and maintaining trademarks, patents, and copyrights.
◦ Monitoring potential IP infringements and handling renewals.
5. Mergers and Acquisitions (M&A) Support:
◦ Assisting in due diligence processes by organizing and reviewing relevant documentation.
◦ Helping prepare transaction-related documents for acquisitions or divestitures.
6. Litigation Support:
◦ Coordinating with outside counsel on disputes or regulatory investigations.
◦ Managing legal holds and document discovery processes.
